My understanding is that a 'Golden Share' is generally accepted as being Wirth 51%. It would appear that one remaining shareholder has 51% of the club. This obviously inset the case when the buyer takes a 90% share. There are other posts asking whether the 90% holding allows the buyer to make a compulsory purchase move for the remaining 10%. Yes, under UK law this is the case. The offer must come with three months of the 90% control being gained and the price is the same as that paid for the share value of the 90% purchased. The compulsory purchase option definitely applies across share types but what I'm not 100% certain about is whether a share of nominal value 50p (our ordinary shares) can be purchased for the price of the 'A' Share nominal value (or actual purchase value) when the 'A' Share nominal value is below that of the Ordinary Share. | | | |

The price of football recently interviewed Rob Bradley chairman of the Red Imps Community Trust, and the fan representative on the board at Lincoln City. They have quite a complicated set up there with holding companies, new American investors and the community trust. There is more of a shadow board set up and members have the casting vote on things such as change of kit colour, change of badge and interestingly the location of a new ground if is beyond a certain distance from the town. There are many similarities between where they are now and where we could shortly be headed. Hopefully when the trust get the chance to meet with WSH something similar could be agreed. | | | |

Brentford’s Supporters Trust did something similar when they sold Brentford FC to Matthew Benham. Benham then needed their agreement before he could move the club from Griffin Park to the Gtech Community Stadium. There is no reason Rochdale’s board can’t negotiate something similar. No worries. To state the obvious, the time to do this is now. It shouldn’t be difficult to organise or to secure shareholder approval for it at another EGM. The Trust is the obvious entity to hold this Golden Share. Once control is ceded no owner is likely to make this concession and, of course, a Golden Share could potentially be structured to bind all future owners, not just WSH. [Post edited 4 Mar 12:18]
